Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Brokerverse (the "Service"), operated by Brokerverse, Inc. ("Brokerverse," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

You represent that you have the authority to bind the brokerage or company you represent to these Terms.

Brokerverse is a business-to-business discovery and identity layer for professional ticket brokers. The Service aggregates live inventory from connected point-of-sale ("POS") systems, attaches verified broker identity, and enables members to message and contact each other.

Brokerverse is not a ticket marketplace. We do not buy, sell, fulfill, or take custody of tickets, and we are not a party to any transaction between members.

To use the Service, you must:

• Be a professional ticket broker operating as a business entity or as a sole proprietor in that capacity. The Service is offered for business-to-business use only and is not intended for consumers.
• Be at least 18 years of age.
• Maintain a verified account with a supported POS provider (currently Ticket Evolution, SkyBox, or Ticket Utils).
• Provide accurate registration information and keep it current.

We reserve the right to verify eligibility at any time and to suspend or terminate access if eligibility is not maintained.

The Service is currently invite-only. Access requires a single-use invitation issued by Brokerverse. You agree to provide complete and accurate information during registration and onboarding.

You are responsible for all activity that occurs under your account, including maintaining the confidentiality of your sign-in credentials and POS API credentials. You must notify us promptly of any unauthorized access. You may not share or transfer your account.

Membership is offered on a monthly subscription basis at $99.00 USD per broker per month. Payment is collected via ACH Direct Debit only; credit and debit cards are not accepted at this time.

Subscriptions automatically renew each billing period until canceled by you. You may cancel at any time from /dashboard/billing. Cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for partial months, unused time, or downgrades.

Failed ACH payments may result in suspension of the Service until the balance is resolved. We may modify pricing on at least thirty (30) days' written notice; any change takes effect at the next renewal.

You agree not to:

• Engage in fraud, misrepresentation, or any deceptive practice on or through the Service.
• Use automated means to scrape, crawl, or extract data from the Service beyond the synchronization of your own POS inventory through Brokerverse-provided integrations.
• Harass, threaten, defame, or otherwise harm other members via the in-app messaging features or otherwise.
• Impersonate any person or entity, or misrepresent your affiliation with a brokerage.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or related systems.
• Violate any applicable law or regulation.

Brokerverse is a discovery layer. Transactions arising from contact made through the Service occur off-platform, directly between members, using rails of their own choosing. Brokerverse is not a party to any deal, does not facilitate payment, and does not act as a broker, agent, escrow, or custodian.

Each member is solely responsible for the accuracy, legality, authenticity, condition, delivery, and fulfillment of their own ticket inventory. Brokerverse makes no representation or warranty regarding the authenticity, availability, condition, pricing, or fulfillment of any listing displayed on the Service, and disclaims any liability for losses arising out of member-to-member transactions.

Inventory shown on the Service is sourced from members' POS systems and may be delayed, incomplete, or out of date.

The Service, including all software, design, branding, and content (excluding member-submitted content and inventory data), is owned by Brokerverse or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms.

You retain all rights in inventory data and content you submit or sync to the Service. You grant Brokerverse a non-exclusive, worldwide license to host, display, process, and transmit that content to the extent necessary to operate and provide the Service to you and other authorized members.

You may cancel your subscription at any time from /dashboard/billing. You may delete your account from /dashboard/settings.

We may suspend or terminate your access at any time, with or without notice, for cause, including but not limited to breach of these Terms, suspected fraud, non-payment, or conduct that we reasonably believe poses risk to Brokerverse, other members, or third parties.

Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. BROKERVERSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY LAW, BROKERVERSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. BROKERVERSE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO BROKERVERSE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You will defend, indemnify, and hold harmless Brokerverse and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your inventory, listings, messages, or other content, (c) any transaction or dispute between you and another member, or (d) your breach of these Terms or violation of applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
